Exhibit 5.4—Canadian Forces contract—ceiling rate requirement

Section 11.2 of the Canadian Forces contract for the Integrated Relocation Program states:

"The requirements of the Statement of work [which includes property management services] shall be completed in accordance with the terms and conditions of the Contract and shall be subject to the ceiling prices specified."

Annex 'B'1(b) of the Canadian Forces contract states:

"The Contractor will be reimbursed for [third party service] fees at actual cost up to the ceiling rate quoted with no allowance for profit or overhead."
